General Terms and Conditions

For the users of toolvia.ai

By browsing and using the webshop, the User declares that they have read and accepted these General Terms and Conditions (the "GTC") and the Privacy Policy applicable to the use of the website and to the services available on it.

Basic provisions

For matters not regulated in these GTC, as well as for the interpretation of these GTC, the Hungarian law shall govern, with particular regard to the relevant provisions of Act V of 2013 on the Civil Code (the "Civil Code"), Act CVIII of 2001 on certain issues of electronic commerce services and information society services (the "E-commerce Act"), and the Government Decree 45/2014 (II. 26.) on the detailed rules of contracts between consumers and businesses. The mandatory provisions of the applicable legislation are binding the parties even without any separate stipulation. The data processing carried out under these GTC is also governed by the Service Provider's Privacy Policy, available at https://toolvia.ai/pages/privacy-policy.

These GTC are effective from 10 June 2026 and remain in force until revoked. The Service Provider is entitled to amend the GTC unilaterally. The Service Provider shall publish any amendments on the website 15 (fifteen) days before they enter into force.

"User" means the person who visits the site and reads its content.

By entering the website operated by the Service Provider, the User acknowledges the provisions of the website's terms of use and of the Privacy Policy as binding upon them. If the User does not accept the terms, they are not entitled to view the content of the site.

"Customer" means the User who purchases a product or service through the website.

The Service Provider reserves all rights with respect to the website, any part of it, the content displayed on it, and

the distribution of the website. Downloading, electronically storing, processing, or selling the content displayed on the website, or any part thereof, without the Service Provider's written consent is prohibited.

Registration

The advantage of registering on the Service Provider's website is that, should the User wish to order again, they will not need to enter their data anew. During registration, the data subject provides their e-mail address. With regard to registration, the processing is based on the data subject's consent (point (a) of Article 6(1) of the GDPR).

If the User consents during registration or at a later time, the Service Provider will periodically inform them about its news and special offers.

The Service Provider reserves the right to subsequently block or restrict access to the website. The risk assessment is carried out on an individual, non-automated basis.

During registration, the User is not obliged to provide their own, true data. However, in the case of untrue data, or data attributable to another person, any electronic contract that may come into existence is null and void. The

Service Provider accepts no liability for any misunderstandings or damages arising from the provision of untrue data.

Purchase

Purchasing on the website is not subject to registration, but a valid e-mail address must be provided at the time of purchase.

The products on the website can be purchased exclusively online. Prices are displayed in US dollars (USD) as the reference currency. Where the customer's market supports it, the order is charged in the local currency (e.g. ARS, BRL, MXN) at checkout, converted from the USD reference price at the applicable exchange rate. Regardless of the currency charged, the invoice is issued by the Seller in Hungarian forint (HUF) in accordance with Hungarian law.

Selecting the products to be purchased can be started by pressing the "Kosárba" / "Add to cart" button. After this, in the pop-up window, it is possible to continue shopping or to modify the content of the cart or the quantity of

the product. Adding individual products to the cart does not yet constitute a purchase; to complete the purchase, it is necessary to click the "Pénztár" / "Check out" button.

Before approving the order, the content of the cart can be checked and modified, or the order can be cancelled.

However, after the purchase has been finalised, the order data can no longer be modified. The Service Provider sends a confirmation e-mail about the order.

For every purchase, it is necessary to read and accept the General Terms and Conditions, the Privacy Policy, and the waiver statement regarding the 14-day right of withdrawal. The Customer accepts these statements together, with a single approval, the date and time of which the Service Provider logs and retains in accordance with the Privacy Policy.

This contract, the Privacy Policy, and the waiver of the 14-day right of withdrawal are accepted together, by ticking the checkbox next to the statement.

The text of the statement:

"I accept the General Terms and Conditions, the Privacy Policy, and the Refund and Withdrawal Policy, and I consent to immediate access to my digital product. I acknowledge that, by the immediate commencement of performance, I waive my 14-day right of withdrawal."

Submitting the order is deemed a written, recorded agreement concluded between the customer and the Service Provider. Submitted orders are recorded and are accessible to the customer at any time. Pending orders and

previous, closed orders can be tracked under the "My Orders" menu item.

When placing an order, the data subject provides their e-mail address. With regard to the purchase, the processing is based on the performance of a contract (point (b) of Article 6(1) of the GDPR).

Products

The products distributed by the Service Provider are available in digital form and become accessible immediately after payment to the owner of the e-mail address provided. In terms of their solutions, the products can be of two kinds:

    • Files that can be downloaded and printed in PDF format. The Service Provider sends these products to the e-mail address provided immediately after payment.
    • Online-access applications and browser games. The Service Provider provides the access path or download

location of these products. The Service Provider sends the password required to use the products to the e-mail address provided. The user ID is the same as the e-mail address provided. For certain combined products —

designated as "Bundle" — a PDF download is also required in addition to the applications / online games.

Important information:

    • The products are the Service Provider's own digital products and are not connected to FIFA or to any other brand name associated with the 2026 football World Cup.
    • The betting-style, prediction games involve no stakes and do not qualify as gambling.
    • Reselling the games or using them for commercial purposes is prohibited.

Payment options

Payment in all cases takes place by immediate online transaction in USD. The Customer may choose from the following payment applications:

    • Apple Pay — a built-in service operating on Apple devices.
    • Google Pay — using card details saved to a Google account or stored in Google Wallet.
    • PayPal — via an electronic payment system.

The payment interfaces may request and record different data during the purchase. If you would like to know more about the data processing, please consult the official interface of the payment provider.

In connection with payment and invoicing, the Service Provider stores the data subject's e-mail address, the name of the products paid for, the amount of the purchase price, the date and time of payment, the order ID, and the

transaction ID. With regard to the purchase, the processing is based on the fulfilment of a legal obligation (point (c) of Article 6(1) of the GDPR).

The invoice issued for the purchase is issued in HUF. The conversion rate depends on the prevailing current USD/HUF exchange rate.

Guarantee and warranty

The guarantee and warranty prescribed by law are also due to the Customer in the case of the supply of digital

content and digital services. The Service Provider must give clear instructions on how to install the digital content or service, and must inform the Customer of the technical requirements necessary to operate the content or

service.

In the case of products acquired through a single purchase, any defect that appears within 1 year shall be deemed to have already existed at the time of purchase, unless the Service Provider can prove the contrary.

The Service Provider provides all necessary information and technical support at the time of purchase and in the digitally delivered documentation. If you notice a defect, please report it without delay to the e-mail address

The Service Provider excludes complaints arising from the following errors:

  • an incorrectly provided e-mail address;
  • forgetting or deleting the password or the e-mail received;
  • problems arising from limited internet access;
  • the use of a technologically unsuitable device.

In the event of a defect being reported, the Service Provider first attempts to resend the data.

A refund is made exclusively in the event that the Service Provider failed to send the product, or the information required to download or use it, to the e-mail address provided. The refund is made by bank transfer, in a manner agreed with the Customer.

Withdrawal

By paying for the product, the Customer expressly consents to the Service Provider sending the product and the required password immediately to the e-mail address provided.

At the time of purchase, by accepting the GTC and by waiving the 14-day right of withdrawal, the Customer declares that they waive their right of withdrawal.

For the above reasons, in the case of a digital product, the Customer is not entitled to the 14-day right of withdrawal.

Complaints

If there is an objection in connection with the purchased product, the Customer can report it to the e-mail address rma@toolvia.ai. A valid complaint is conditional on the existence of the purchase confirmation.

The Service Provider carries out the investigation of the complaint and makes its decision regarding it within 5

working days, having regard to the deadlines prescribed by law, including the case where, at the time the claim is reported, it is unable to state its position or rejects the claim.

Pursuant to the Consumer Protection Act, the Service Provider is obliged to store complaints and their data for 5 years from the receipt of the complaint.

In disputed matters, the Service Provider always strives for an amicable settlement, and therefore primarily seeks to resolve disagreements with the assistance of a national or EU body specialised for this purpose.

The body recommended by the Service Provider is the Budapest Conciliation Board, competent according to the registered seat (Address: HU-1016 Budapest, Krisztina krt. 99. E-mail: bekelteto.testulet@bkik.hu).

In the case of a cross-border digital service, the Service Provider recommends the Consumer Redress Portal, where the Customer can find the territorially competent dispute-resolution forum specialised for the service.

Limitation of liability

When purchasing on their webshop, the Service Provider assumes that the customer knows and accepts the

possibilities and limitations of the internet, with particular regard to technical performance and to errors that may arise.

It is the Customer's responsibility to assess how to protect the data stored on their computer, with particular regard to data related to financial transfers, from intruders. The Service Provider cannot be held liable for any fraud or other associated crime committed by a third party to the detriment of any Customer.

The Service Provider is in no way liable, on any basis, for any damage — whether direct or indirect — that occurred during or as a result of connecting to the website.

Data protection

The Service Provider handles confidentially the personal data made available to it during the use of the webshop, and forwards it only to its named Data Processors, in those cases where this is necessary in connection with

operations related to the order.

The Service Provider takes all technical and organisational measures to ensure the confidentiality, availability, and integrity of the personal information it processes.

The provisions relating to data protection can be accessed in the Privacy Policy on the Service Provider's website (https://toolvia.ai/pages/privacy-policy).

By accepting these GTC and the Privacy Policy, the User declares that they have become acquainted with the data

processing applicable to them, and gives their consent to those data processing purposes for which the legal basis is the data subject's consent. The consent-based data processing purposes relate to the use of the website, the

sending of newsletters, ordering from the website, and the use of services.

During the browsing of the webshop, technical information (IP address, duration of visit, etc.) is recorded for statistical purposes. The Service Provider hands over this data to the authorities only in legally duly justified and substantiated cases.

Other information

On the toolvia.ai website, the Service Provider publishes the availability of the General Terms and Conditions,

By ordering from the website, every customer declares that they have become acquainted with and accept the business policy, the purchase conditions, and that they are aware of the order process. A condition of ordering

from the website is that, before submitting their order, the customer separately declares on the web interface that they have become acquainted with and accepted the General Terms and Conditions, the Privacy Policy, and the 14-day withdrawal statement, and acknowledges them as binding upon them.

The Service Provider can consider an order accepted, or register it, only when the customer fully completes the all fields on the page, both when registering the customer's data and when placing the order. The Service Provider accepts no liability for damages arising from the failure to do so, or for technical problems arising during the process.

Any part of the toolvia.ai website, including image and text content displayed on it, may be used exclusively with the prior, written consent of the Service Provider and with an indication of the source.

The downloaded content may not be placed on the market and may not be used for commercial purposes. The products sold are intended exclusively for home entertainment purposes.

The recipient of the order uses the ordered services/products at their own risk. In matters not regulated in these General Terms and Conditions, the relevant legislation of Hungary shall govern.
